1. Acceptance of Terms

By accessing or using the CE Tracker App website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

CE Tracker App provides a platform for professionals to track their Continuing Education (CE) credits, store certificates, and monitor compliance with state licensure requirements. The Service includes features such as manual data entry, AI-powered certificate parsing, and compliance reporting.

3. AI Features & Accuracy Disclaimer

IMPORTANT: Our Service utilizes Artificial Intelligence (AI) and Optical Character Recognition (OCR) technologies to assist in extracting data from your uploaded certificates. While we strive for high accuracy, these technologies are not infallible.

You acknowledge and agree that:

  • You are solely responsible for verifying the accuracy of all data extracted, parsed, or suggested by the Service.
  • You must review all entries for correctness before relying on them for official compliance reporting.
  • CE Tracker App is not responsible for any errors, omissions, or compliance failures resulting from incorrect data extraction or categorization.
  • The Service is a tool to assist you, but it does not replace your professional obligation to ensure your records are accurate and complete.

4. User Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

5. Intellectual Property

The Service and its original content (excluding Content provided by you or other users), features, and functionality are and will remain the exclusive property of CE Tracker App and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Your Content: You retain ownership of any data, certificates, or files you upload to the Service ("User Content"). By uploading User Content, you grant us a license to use, store, and process such content solely for the purpose of providing the Service to you.

6. Limitation of Liability

IN NO EVENT SHALL CE TRACKER APP, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

7. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR COURSE OF PERFORMANCE.

8. Indemnification

You agree to defend, indemnify and hold harmless CE Tracker App and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

9. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Arbitration & Class Action Waiver: Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration, rather than in court. You agree to waive any right to a jury trial or to participate in a class action.

10. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
